Registration

In order to use this Web site, you must first complete the registration form and create a user name and password. During registration you [are required to] give[s] contact information (such as name and email address). We use this information to contact you about the services on our site in which you have expressed interest.

ZENGER GROUP is the sole owner of the information collected on Z-print. ZENGER GROUP collects personally identifiable information from our users at several different points on our Web site.

Orders

If you purchase a product or service from us, we request certain personally identifiable information from you on our order form. You must provide contact information (such as name, email, and shipping address) and financial information (such as credit card number, expiration date).

We use this information for billing purposes and to fill your orders. If we have trouble processing an order, we will use this information to contact you.

Surveys or Contests

From time-to-time we may provide you the opportunity to participate in contests or surveys on our site. If you participate, we will request certain personally identifiable information from you. Participation in these surveys or contests is completely voluntary and you therefore have a choice whether or not to disclose this information. Tell-A-Friend

ZENGER GROUP stores this information for the sole purpose of sending this one-time email and tracking the success of our referral program.

We use PRINTABLE TECHNOLOGIES, INC. (Printable). to provide the background web-to-print functionality on our site. When you sign up for z-print.com, your profile information, transactions and artwork files are stored on Printable Technologies servers as necessary for them to provide that service.

Printable is prohibited from using your personally identifiable information for any other purpose.

We reserve the right to disclose your personally identifiable information as required by law and when we believe that disclosure is necessary to protect our rights and/or to comply with a judicial proceeding, court order, or legal process served on our Web site.

Choice/Opt-out

Z-Print.com Terms and Conditions of Sale and Delivery

1. General. In these terms and conditions of sale, Zenger Group, online as Z-print.com, z-print.net is referred to as "Seller" and the party to whom Seller's quotation or invoice is addressed is referred to as "Buyer". All sales of Seller are subject to the following terms and conditions. Any purchase order or other communication from Buyer that contains terms and conditions in addition to or inconsistent with the following will not be binding upon Seller unless acceptance of those terms and conditions is made in writing by an authorized representative of Seller. Failure of Seller to object to provisions contained in any purchase order or other communication from Buyer will not be construed as a waiver of these terms and conditions nor an acceptance of any such provisions. Seller's quotation, these terms and conditions and Seller's order acknowledgment or invoice constitute the entire agreement between Buyer and Seller with respect to the sale of Seller's products, and supersede all oral and written proposals, representations, understandings and agreements previously made or existing with respect to the sale of Seller's products. Seller's quotation, these terms and conditions and Seller's order acknowledgment or invoice are governed by and must be construed according to the laws of the State of New York without reference to the laws of any other jurisdiction. Any action or proceeding relating to the sale of Seller's products must be commenced and will remain in New York State Supreme Court, Erie County, or in the United States District Court for the Western District of New York.

2. Acceptance of Orders. Orders become effective only when accepted by Seller in writing. To avoid delay, new Buyers should include credit information or references with their first order, or remit cash. Transportation costs must not be deducted from the selling price.

3. Cancellation. Orders for normal quantities of standard products may be cancelled without charge, if written notice is provided to Seller in enough time to stop shipment. Cancellation of orders for standard products in abnormal quantities or orders for products to be produced in accordance with Buyer's specifications or designs requires the prior consent of Seller which may not be unreasonably withheld, provided, that Seller will be reimbursed for any costs that it cannot mitigate. Determination of whether a particular quantity is abnormal or whether products were produced in accordance with Buyer's specifications will be made by Seller. Seller's determinations and Seller's calculation of any costs that it cannot mitigate will be final and conclusive.

4. Delay. Shipping dates are estimated. If the Buyer delays in supplying information necessary to proceed with an order, the estimated date of shipment may be extended by Seller accordingly. Seller is not liable for late shipments. Any penalty clause for failure to meet shipment dates is not binding upon Seller unless specifically approved in writing by an officer of Seller. If Buyer causes a delay in shipment, Seller may invoice Buyer and hold the products at Buyer's risk, cost and expense pending Buyer's instructions.

5. Payment. Terms of credit for retail transactions is by valid Visa or Mastercard credit card. If satisfactory commercial credit is established with Seller, terms of credit are net 30 days from date of invoice. If Buyer defaults in any payments when due, Seller reserves the right to defer delivery or cancel the order, without prejudice to its other lawful remedies. In the event Seller engages the services of an attorney to collect such overdue amounts, Buyer agrees to pay the attorney's fees and disbursements. Seller reserves the right to ship its order and make collection by sight draft with bill of lading attached or on a C.O.D. basis or any other terms.

6. Taxes and Other Charges. Buyer will pay any manufacturers' tax, retailer's occupation tax, use tax, sales tax, duty, custom inspection or testing fee, or any other tax, fee or charge of any nature whatsoever, imposed by any government authority, on or measured

7. Freight; Title and Risk of Loss. All prices quoted (including repairs and parts) are F.O.B. Seller's location, no freight allowed. Title and risk of loss pass to Buyer upon delivery to carrier.

8. Return of Products. Zenger Group guarantees prints will not be defective in accordance with CMYK industry standards for "pleasing" color. We offer no guarantee of "matchprint" color accuracy and cannot prevent slight color shift throughout a run. Zenger Group does not guarantee color will match the preview as it appears on a customer's computer monitor, as we cannot compensate for color variance on each customer's monitor. Zenger Group is not responsible for any color shift that occurs in conversion from RGB to CMYK color modes. We recommend all designs be designed in CMYK and uploaded in CMYK. You may also upload in RGB if you choose. However, the color will be converted and may not be as accurate. If a print is found to be defective due to the fault of Zenger Group, then you may contact Zenger Group to request a reprint or refund. Zenger Group must be contacted via e-mail at z-print-support@zenger.com or by phone at (716) 871-1058 within 30 days of receiving your order.

If product is deemed defective due to the fault of Zenger Group, one of the following resolutions will be offered:
A. If a reprint is requested, and the product is found to be defective, Zenger Group will reprint at no charge to the customer with the same production and delivery terms extending from the time of resolution. Samples may be requested prior to any action being taken;
or
B. If a refund is requested, a Customer Service representative will contact you to help issue your RMA (Return Merchandise Authorization). Customer must contact a Zenger Group representative within five business days of communication from Zenger Group Customer Service representative to verify the request. Zenger Group reserves the right to request and review samples of the claimed defective product before issuing a RMA. If the product is found to be defective due to customer error, a RMA will not be issued and a refund will not be authorized. If the product is found to be defective due to a Zenger Group error, the product must be returned. The product must be received by Zenger Group within 30 days after RMA is issued. Refunds will be processed only after an RMA has been issued and the entire product has been returned to and reviewed by Zenger Group.

9. Shipping: All product is shipped by either UPS or Federal Express. Upon shipment, Buyer will usually receive a shipment confirmation with tracking number. All shipments are send by Ground service unless otherwise requested.

10. Limitation of Liability. SELLER WILL NOT BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY SPECIAL, CONTINGENT, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES. Seller's total liability with respect to a claim for any damages arising out of or connected with the sale, purchase or use of any product sold by Seller will in no event exceed the price paid for the product.

11. Indemnification. If Seller is made a party to any proceeding, action or arbitration, on the basis of breach of warranty, negligence, strict liability or tort, by Buyer, or any persons deriving title from Buyer, or any third party, unless it shall be determined that Seller was solely negligent or solely at fault, then Buyer will indemnify and hold Seller harmless for all damages, costs and expenses in connection with such proceeding, action or arbitration, including attorneys fees.
